(1994),”The Civil Liability of CorporateAuditors: an International Perspective”, a discussion paper at Capital MarketForum. 例见屈芥民著，《专家民事责任论》，湖南人民出版社1998年3月第1版；李挺伟，《注册会计师的专家责任》，《中国注册会计师》2000年第3期； 陈洁，前注6文。 关于法定审计下会计师的责任问题，德国1931年的商法典第262条以及1937年公司法第141条均作出了规定。1965年德国公司法168条将会计师的责任扩大至被审计公司的联属企业，但是拒绝将其扩大至股东、债权人等其他第三人。1985年德国商法典修改时将公司法第168条照搬过来。 国商法典第323条（1）款规定：进行审计的会计师、其助手以及会计公司的法定代表人对于因故意或过失而违反其职责的行为承担法律责任, 但是只有被审计单位以及被审计单位的联属企业才能要求损害赔偿。 到1998年以前，注册会计师的“盖帽责任”为50万马克，1998年德国公司法进行大刀阔斧的改革，注册会计师的责任限制也扩大到200万马克，对上市公司的赔偿限额激增为800万马克。 经济损失（pureeconomic loss）指单纯的、不附带于人身伤害或财产损害的金钱损失。德国民法典第823条规定：“因故意或过失不法侵害他人的生命、身体、健康、自由、所有权或其他权利者，对被害人负赔偿损害的义务，”没有包括纯经济损失（pure economic loss）在内。 德国民法典第826条规定：“以违反善良风俗的方法对他人故意施加损害的人，对受害人负有损害赔偿的义务” Ebke, W. Saving up for tomorrow's New Hampshire commentary? Even though I was aware of Doug Roulstone's current effort, it was so low profile, it was no profile. Jack Metcalf, where are you now that we need you (rhetorical question; I know he passed away, I just miss him, that's all)? And curious... Postman, you say Roulstone released the announcement yesterday? Yet he's wishing everyone, "a very Merry Christmas?" Tell the truth now... did he actually release it yesterday, or did you just get around to reading it yesterday?
